Fernando focuses his practice on advising national and
international clients from a wide range of industries and sectors, including
private and public companies, investment funds and shareholders, among others,
in different types of corporate transactions, including mergers, acquisitions,
joint ventures, shareholder agreements, restructures, strategic alliances,
combinations, capital raisings, and fund formation, among others.
He also advises clients in complex and day to day
corporate matters, including the formation of SPVs, negotiation and closing of
commercial agreements, the soft landing in Mexico of foreign investment and
nearshoring projects, compliance with corporate obligations, shareholder
resolutions and the design and implementation of governance structures.
He has been local counsel in high-end and mid-market
multijurisdictional deals, standing out for his practical and business-oriented
approach.
Fernando has also focused his practice in compliance
matters, including the design of preventive mechanisms, as well as
sophisticated ethics and integrity policies and programs aimed at adding value
to his clients’ business and aligning with Mexican law and other international
regulations.
He has participated as speaker and panelist in
national and international conferences and has published several articles in
recognized legal publications.
